User Agreement
School Specialty Website User Set-Up Agreement
THIS AGREEMENT, made and entered into on the effective date indicated below (the "Agreement") by and between School Specialty, LLC, a Delaware limited liability company (hereinafter referred to as "School Specialty"); and the individual listed on the registration form (hereinafter referred to as the "User").
WHEREAS, School Specialty, agrees to provide, and User agrees to receive, access to a School Specialty registered user website (the “School Specialty Website”) according to the following terms and conditions; and
WHEREAS, the User requests that School Specialty setup its account in the School Specialty system, including all account and authorization information as detailed on the form attached hereto as the registration form; and
WHEREAS, School Specialty agrees to perform such setup services under the terms and conditions of this Agreement.
NOW, THEREFORE, it is agreed as follows:
- The User acknowledges that they have completed the registration form attached to this Agreement and that all such information is complete and accurate.
- For registering Users requesting access as part of a district or school buying organization, or requesting access as a business (as indicated in the registration form), School Specialty agrees, within thirty (30) days [days may vary by size of account] of the date of this Agreement, to complete the setup services required to allow the User to access and utilize its account. Upon completion of the setup services, School Specialty shall e-mail to the responsible party at the specified e-mail address, as described on the registration form, informing the User that its account is ready for review. The User shall have seventy-two (72) hours from issuance of said e-mail notice in which to review the details of the user account. In the event that School Specialty is not informed by the User by e-mail at websupport@schoolspecialtyonline.com within said seventy-two (72) hour period of any required revisions or corrections, the account shall be activated, and School Specialty shall be relieved of any liability regarding the services provided under this Agreement.
- For registering users requesting individual access (as indicated in the registration form), School Specialty agrees to immediately allow the User to access and utilize the account.
- The User by entering into this Agreement does agree to the terms and conditions of use described on http://www.schoolspecialty.com/term-conditions, as well as the terms of the privacy policy as described on http://www.schoolspecialty.com/privacy-policy. The terms of these pages may change from time to time and the User shall be notified via e-mail at least thirty (30) days prior to the effective date of such changes.
- The User and School Specialty agree that any claim or dispute at law or equity that has arisen or may arise between User and School Specialty regarding a School Specialty Website, and/or User’s use of the School Specialty Website, be resolved in accordance with the arbitration provisions set forth in the http://www.schoolspecialty.com/term-conditions, Please read this information carefully. Among other things it:
- Affects User’s and School Specialty’s rights and will impact how claims between User and School Specialty are resolved, including User’s and School Specialty’s agreement to waive the right to trial by jury.
- Includes a prohibition of class and representative actions and non-Individualized relief pursuant to which User agrees to waive User’s right to participate in a class action lawsuit against School Specialty.
The written opt-out notice must include the title “School Specialty Website Arbitration Opt-Out Notice”, User’s name, address, phone number, and the email address(es) used to log in to the School Specialty Website account to which the opt-out applies. User must sign the opt-out notice for it to be effective. This procedure is the only way User can opt out of the arbitration terms. If User opts out of the arbitration terms, all other parts of the Agreement (including all other terms of the http://www.schoolspecialty.com/term-conditions) will continue to apply. Opting out of these arbitration terms has no effect on any previous, other, or future arbitration agreements that User may have with School Specialty. - Following the initial setup of the User account, revisions to said User account information, including, but not limited to the identity of authorized personnel, the amount of individual authorization limits, and other ancillary information, shall be performed by the User, unless separate arrangements are documented in writing between the User and School Specialty.
- This agreement’s effective date shall be the same date as User’s submission of the registration form.
- Any modification to this agreement must be made in written or electronic form and signed/acknowledged by the User and School Specialty. Notwithstanding the forging, School Specialty reserves the right to change the terms, conditions, and notices under which the School Specialty Website is offered in our sole discretion, including but not limited to the changes associated with the use of the School Specialty Website. Your continued use of the School Specialty Website following the posting of a revised Agreement means that you accept and agree to the changes.
